Terms of Service - VideoPlus.ai

1. Acceptance

VideoPlus.ai provides services and products in this application, under the following terms and conditions. You must read the Terms of Service (‘TOS’) carefully before using this application and the services and products available in this application. By accessing or using the application, services, and products (collectively, 'Services'), you agree to be bound by these terms and conditions. If you do not agree to or accept any of these terms, you must immediately stop accessing or using the Services.

2. Modification

VideoPlus.ai reserves the right to update these terms and conditions, as well as any information, products, and services mentioned at any time, at its discretion, without prior notice. The latest version of the TOS can be reviewed by clicking the 'Terms of Service' link.

3. Privacy Policy

VideoPlus.ai is committed to protecting your privacy at all times. Your use of the Services is also subject to the VideoPlus.ai Privacy Policy ('Privacy Policy'), which is incorporated by reference and forms part of the TOS. It is important for you to read and understand the terms of our Privacy Policy.

4. Account Registration

VideoPlus.ai provides various Services to you through the VideoPlus.ai application and products. Services are available to you after registration. You agree to provide honest and accurate account information, including but not limited to a valid email address and password (collectively, your 'Account Information'). By creating or registering an account to use our Services, you represent that you are at least eighteen (18) years old or that you are a legal entity, and that the registration information you provide is accurate and complete. You understand that it is your responsibility to maintain the confidentiality of your VideoPlus.ai Account Information. All activities under your account are your responsibility. If you find or suspect that someone has accessed your account without authorization, please notify us at support@videoplus.ai as soon as possible so we can revoke your account and replace it with a new one. You must not use someone else's name or an unauthorized entity as a username or trademark name that is subject to the rights of other people or entities besides yourself, without proper authorization. You must not use usernames that are offensive, vulgar, or obscene.

5. Product Description

We strive to describe and display the Application and Services as accurately as possible. Although we try to be as clear as possible in explaining the Services, we do not guarantee that the Application is completely accurate, current, or free from errors. From time to time, we may correct pricing and description errors. We reserve the right to refuse or cancel any orders with incorrect pricing.

6. License to Use

This is a license grant, not a transfer of ownership, and under this license, you may not: 1. Attempt to decompile or reverse engineer any application found on the VideoPlus.ai page; 2. Remove copyright or other proprietary notations from materials; This license will automatically terminate if you violate any of these restrictions and may be terminated by VideoPlus.ai at any time. Upon termination of display of these materials or after termination of this license, you must destroy all materials downloaded in your possession, whether in electronic or printed format.

7. Restrictions on Use

This application can be accessed globally, so it is your responsibility to assess whether using this website, products, or services is in accordance with your local laws and regulations. Whenever you use the application, products, or services, you must comply with these terms and conditions, relevant laws, regulations, and policies. VideoPlus.ai reserves the right to seek all available legal and equitable remedies for any violations of these terms and conditions. You understand that the Services on the application should not be abused. VideoPlus.ai may take appropriate measures to protect the Services from abuse or use to harm someone. As a condition of your use of this application and any Services, you agree not to:

● Use the application for any unlawful purposes or any purposes prohibited by the TOS;

● Defame or disparage any person, whether legal or physical, or make obscene, derogatory, or offensive comments, or use this application and/or the Services or their content in a way that brings VideoPlus.ai or any third party into disrepute or makes VideoPlus.ai liable to any third party;

● Download, post, reproduce, share, store, or distribute pornographic, obscene, or sexually explicit information, or anything that contains links to adult websites;

● Download, post, reproduce, share, store, or distribute content that is derogatory or malicious, such as references or comments about racial, sexual, or gender identity or expression, national or ethnic origin, or any other specific group;

● Send, share, or distribute anything excessive, unwanted, unsolicited, or which is 'spam' or mass commercial email;

● Send, post, or transmit any content that is illegal, hateful, threatening, derogatory, or defamatory;

● Send, post, or transmit any content that infringes intellectual property rights; violates privacy; or incites violence;

● Download, upload, post, reproduce, or distribute content protected by copyright or other proprietary rights without the owner of the proprietary content's permission;

● Create derivative works from or otherwise exploit this application and/or the Services or their content;

● Use this application and/or the Services to distribute viruses or malware or any other harmful software code;

● Attempt to access, investigate, or connect to computing devices without proper authorization (for example, any form of 'hacking');

● Attempt to compile, utilize, or distribute a list of IP addresses operated by VideoPlus.ai in connection with the Services;

● Act in any way that may damage, disable, overwhelm, or impair any VideoPlus.ai server, or any networks connected to any VideoPlus.ai server, or interfere with the use and enjoyment of this website and the Services by others;

● Attempt to gain unauthorized access to this website and/or any Services, other accounts, computer systems, or networks connected to any VideoPlus.ai server or to any web property and/or Services, through hacking, password mining, or any other means;

● Evade storage space restrictions;

● Use the Services as infrastructure for your own cloud services or as a backup for your own cloud services;

● Use the storage space provided by the Services as a basis for encrypted storage, storage, or similar proof systems;

VideoPlus.ai reserves the right, at its sole discretion, to respond to violations of these terms by taking appropriate actions, which may include removing or blocking access to content stored through our Services, suspending a user's use of the Services, or terminating accounts without prior notice.

8. Confidentiality

Any information about Clients and their Client Records may be forwarded to third parties. However, Client records are considered confidential and, therefore, will not be disclosed to third parties except to our employees and, if required by law, to the appropriate authorities. Clients have the right to request to see and copy all Client Records we keep, provided that we are given reasonable notice of such request. Clients are requested to retain copies of published literature related to the provision of our services. Where appropriate, we will provide the relevant written information, handouts, or copies of records as part of the agreed contract for the benefit of both parties. We provide you with the option to view all the information we hold upon your request. We will not sell, share, or rent your personal information to any third parties or use your email address for unsolicited email. Any email sent by this Company will only relate to the provision of the agreed services and products.

9. Billing for Paid Service

● Subscription: videoplus.ai independently determines the price of Subscription and publishes it in the Service. The use of Subscription is subject to payment in advance. videoplus.ai reserves the right to change its subscription fees at any time, upon notice to User if such change may affect User’s existing Subscription.

● Refund Policy: As videoplus.ai Service is presented and delivered to User instantly once User’s payment has been confirmed, User agrees that subscription fees paid by User are NOT REFUNDABLE.

● All subscription fees shall be deemed to be in the currency and amount shown in Service, except as specifically stated otherwise in writing by videoplus.ai. To the extent permitted by law (and unless specified otherwise by videoplus.ai in writing), all subscription fees are exclusive of all taxes (including value added tax, sales tax, goods and service tax, etc.), levies or duties imposed by taxing authorities (“Taxes”), and User shall be responsible for payment of all applicable Taxes relating to User’s use of Service, or to any payments or purchases made by User. If videoplus.ai is obligated to collect or pay Taxes for the subscription fees payable by User, and whether or not such Taxes were added and collected from User for previous transactions, such Taxes may be added to the payment of any outstanding subscription fees and will be reflected in the invoice for such transaction.

● As part of registering or submitting information to receive Subscription, User also authorizes videoplus.ai (either directly or through its affiliates, subsidiaries or other third parties) to request and collect payment (or otherwise charge, refund or take any other billing actions) from our payment partners or User’s designated banking account, and to make any inquiries that videoplus.ai or its affiliates may consider necessary to validate User’s designated payment account or financial information, in order to ensure prompt payment, including for the purpose of receiving updated payment details from Users’ payment, credit card or banking account provider (e.g. updated expiry date as may be provided to us by Users’ credit card company).

● If User’s videoplus.ai account or any Subscription is canceled (whether at User’s request or at videoplus.ai’s discretion), it may cause or result in the loss of user data, features, or capacity of User’s videoplus.ai account. videoplus.ai shall not be liable in any way for such loss or for saving a backup.

● Effect of Expiration of Subscription: once User’s Subscription ends, User is not allowed to use paid Design Resource, modify Final Work or utilize the downloaded Design Resource to produce a new Final Work. In addition, User’s Final Work completed within the Subscription Period must be published within 30 days after the termination of the Subscription. Unless otherwise restricted by third-party copyright owners, User may keep in perpetuity the Final Work already published within 30 days after the termination of the Subscription.

● videoplus.ai Service is presented to User on different platforms (Chinese Website, Global Website, Desktop App, Mobile App for iOS, Mobile App for Android, etc.). Each of the platforms has its own paid service. As the platforms are designed based on different pricing models, the payment of paid service on one platform is NOT transferrable to another. User agrees that the fees paid on one platform will only allow User to access paid service on that platform according to its specific payment terms.

● Subscription Renewals: In order to ensure that User does not experience any interruption or loss of Service due to the lapse of any particular Subscription Period, the Subscription operates with automatic renewal with Recurring Billings. Accordingly, where applicable, videoplus.ai will attempt to automatically renew the applicable Service for a renewal period equal in time to the original Subscription Period for such Service, and automatically charge User the applicable subscription fees using the payment method User has on file with videoplus.ai. In the event of failure to collect the subscription fees owed by User, videoplus.ai may suspend (until full payment is made) User’s Subscription or downgrade User’s videoplus.ai account back to a free basis account, without further notice.

● User may discontinue to use and request to cancel Subscription, in accordance with the terms herein. The effective date for cancellation of Subscription shall be at the end of User’s current Subscription Period.

● User understands that as the cancellation process may take a few days, in order to avoid the next Recurring Billing, THE CANCELLATION REQUEST SHALL BE MADE AT LEAST SEVEN (7) DAYS PRIOR TO THE EXPIRATION OF THE THEN-CURRENT SUBSCRIPTION PERIOD.

● Failure to comply with any of the videoplus.ai Terms of Service or failure to pay any due subscription fees shall entitle videoplus.ai to suspend or cancel User’s Subscription. For the avoidance of doubt, in the event of cancellation due to breach of the videoplus.ai Terms of Service, User’s subscription fees are not refundable even if User’s then-current Subscription Period is not expired on the day of cancellation.

● Other Restrictions on Subscription: Whether User purchases, receives or conditionally receives Subscription through videoplus.ai and/or its affiliates/partners, the Subscription is limited to User’s own use. User shall not resell, offer or share the Subscription with any third party. If User resells, offers or shares the Subscription with any third party, videoplus.ai may revoke such User's license, regardless of whether User has passed consideration to videoplus.ai or has enjoyed any promotional offer from videoplus.ai. Such User shall assume all liabilities for Unauthorized Access and videoplus.ai reserves the right to recover against such User all loss, damages, costs and charges.

● If User purchases or receives Subscription through inappropriate approaches other than through videoplus.ai or its affiliates/partners, for example, acting as a transferree, donee or sharee of the misbehaviors stated in clause 6.9.1, it shall be deemed as Unauthorized Access of the Subscription. videoplus.ai may immediately block such User’s Subscription, regardless of whether User has passed consideration to anyone. Such User shall assume all liabilities for Unauthorized Access and videoplus.ai reserves the right to recover against such User all loss, damages, costs and charges.

● Once User’s Subscription is terminated, User is not allowed to use paid Design Resource, modify Final Work or utilize the downloaded Design Resource to produce a new Final Work. In addition, User’s Final Work completed within the Subscription Period must be published within 30 days after the termination of the Subscription. Unless otherwise restricted by third-party copyright owners, User may keep in perpetuity the Final Work already published within 30 days after the termination of the Subscription.

● Retail Tokens: Retail Tokens consist of credits and other forms of service package. User can buy them at once and split them into specific type/quantity of Paid Service. User who has already purchased a Subscription can also buy Retail Tokens for extra type/quantity of Paid Service.

● Conversion Rate: videoplus.ai independently determines the criteria of the number of credits or other forms of service package required for certain type/quantity of benefits that User can enjoy. User agrees that videoplus.ai may change the Conversion Rate at any time at its sole discretion.

● Expiry: videoplus.ai sets different expiry dates for different Retail Tokens, depending on their types and the way you get them.

● User agrees that Retail Tokens bought by User are NOT REFUNDABLE.

● License: Retail Tokens are used in a consumptive way, which means User is no longer allowed to use Paid Service, modify Final Work or utilize the downloaded content to produce a new Final Work 30 days after the Retail Tokens are consumed. User’s Final Work completed with consumption of the Retail Tokens must be published within 30 days after the Retail Tokens are consumed. Unless otherwise restricted by third-party copyright owners, User may keep in perpetuity the Final Work already published within 30 days after the Retail Tokens are consumed. For the avoidance of doubt, Final Work generated with AIGC related Service may apply different licenses or use terms in accordance with development of copyright laws in different jurisdictions.

10. Limitation of Liability

To the fullest extent permitted by law, in no event shall VideoPlus.ai be liable for any damages (including, without limitation, damages for loss of data or profits, or due to business interruption) arising from the use or inability to use the Services on this application, even if VideoPlus.ai or an authorized representative of VideoPlus.ai has been advised orally or in writing of the possibility of such damages. Some jurisdictions do not allow limitations on implied warranties, or limitations on liability for consequential or incidental damages, so these limitations may not apply to you.

11. Termination

VideoPlus.ai may terminate or suspend your access to the services at any time, with or without cause, with or without prior notice, effective immediately. Upon termination, your rights to use the Services will immediately cease. If you wish to terminate your account, you can only cease using the Services. All provisions of the Terms that by their nature should survive termination shall survive termination, including, without limitation, provisions of ownership, warranty disclaimers, and limitations of liability.

12. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

13. Entire Agreement

These terms constitute the entire agreement between you and VideoPlus.ai regarding the use of the Services, and supersede and replace all prior agreements between you and VideoPlus.ai regarding the use of the Services.

14. Changes

VideoPlus.ai reserves the right, at its sole discretion, to modify or replace these terms at any time. If the change is material, we will provide at least 30 days' notice before the new terms take effect. What constitutes a material change will be determined at our discretion.
